Phase 1 - Design and Diligence Phase

Contract Inventory

Experienced paralegals review all agreements and provide a summary of key terms. We ensure all contracts are collected from across your organization for a complete view of your contract universe and critical dates. During this stage, we also track contract requests to estimate ongoing volume and demand.

We will review all current and commonly used agreements, and will update in accordance with information learned from the key client stakeholders (identifying any past pressure points). A critical step in this phase will be the development of the PADU matrix for the most commonly negotiated contract provisions.

Design - Process

We will review all current contract review processes to identify areas of improvement, or create new review and approval workflows. A key element to success during this particular phase is agreeing upon the “exceptions” process during contract negotiations. The end result will be a firmly established process to review and approve agreements based upon risk factors such as overall spend or regulatory concerns.

At the end of the Design and Diligence Phase, In-House Flex will provide:

  • Contract matrix with identified key terms;

  • Final agreed upon and approved templates;

  • PADU matrix of commonly negotiated contract clauses; and

  • Final agreed upon contract approval workflow processes.

Subscription Offer

During the Design and Diligence Phase, the paralegals will track all contracting requests to estimate the volume and demand. In-House Flex will provide pricing tiers based upon length of commitment for the contract processing services. Other factors that will influence the monthly flat fee - volume of agreements, agreed turnaround time metrics (SLAs) and the presence or absence of contract management software.

Door
No Commitment

There is absolutely no commitment to move forward with the monthly contract processing services. At a minimum you will have simply paid for an overall assessment and assistance with designing how you want the process to work (and to be handled by your employees/personnel).

What is included in the Ontract subscription?

  • Experienced paralegals to manage the entire contracting process from initial request to signature (in accordance with the agreed upon design and structure).

  • All drafting of legal documents in accordance with the PADU clauses and direction from client. For example, the paralegals can insert in approved language to documents, or make other business term changes at the direction of client.

  • A shared location to access contract progress (if no contract management system, we will agree upon a shared drive location and utilize the format preferred by client - Microsoft Excel, SmartSheets, etc.).

  • Requests from internal stakeholders for copies of any current agreement (in accordance with approved security protocols).

  • Filing of all signed agreements in the agreed upon repository, and the summary of the agreement on the living contract matrix.

  • Attorney oversight and support during the Design and Diligence Phase - including interpretation of existing clauses within your contract inventory, and assisting the paralegals and your internal team in drafting the templates and contract provisions within your PADU chart.

Reviewing Legal Agreement

What is NOT included in the Ontract subscription?

  • Legal advice - the paralegals can edit and work within the approved contract templates. Further, the paralegals can take direction from internal legal counsel or external legal counsel (insert in unique drafted clauses from legal counsel). For example, the paralegals will make any business term change (notice period, fee, etc.), insert in any agreed upon terms from the PADU chart, but will not independently draft complex legal language.

  • Contract management software - we can of course utilize existing or new systems, but will not provide.
